OFFER AGREEMENT

This Agreement is a public contract – a Public Offer Agreement, which means that according to Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, individual entrepreneur). By fully agreeing to this Agreement, the buyer accepts the terms and conditions for placing an order, paying for goods, and delivering goods.

This Agreement is an agreement between the online store "blendertac.com" and any legal entity, individual entrepreneur, or individual using the services of the online store, hereinafter referred to as the "Buyer," which includes all essential conditions for organizing the purchase and sale remotely (that is, through the online store).

The terms of this Agreement regulate the relationships between the Seller and the Buyer and are defined by the Law of Ukraine "On Consumer Protection" No. 1023-XII dated May 12, 1991, and the Rules for Retail Trade in Non-Food Goods, approved by the Order of the Ministry of Economy of Ukraine No. 104 dated April 19, 2007.

This Agreement constitutes a public offer, is equivalent to an "oral agreement," and according to the current legislation of Ukraine, has the proper legal force.

1. General Provisions

1.1. This Agreement is a public offer (according to Articles 633, 641, and Chapter 63 of the Civil Code of Ukraine) and contains all essential terms for organizing the purchase and sale remotely, that is, through the online store.

1.2. According to Article 642 of the Civil Code of Ukraine, the complete and unambiguous acceptance of the terms of the public contract, that is, the public offer of the online store, is the act of clicking on the "Place Order," "Submit Order," or "Buy in 1 Click" link and paying for the order in the amount of 100% on the terms of this Agreement.

1.3. The public offer is also considered accepted upon the Buyer registering on the online store's website.

1.4. By entering into this Agreement, the Buyer confirms that they are fully familiar with and agree to its terms and also, in the event that the Buyer is an individual, gives permission for the processing of their personal data for the purpose of fulfilling the terms of this Agreement, conducting settlements, and receiving invoices, acts, and other documents. The consent to the processing of personal data is valid throughout the duration of the Agreement. Additionally, by entering into this Agreement, the Buyer confirms that they have been informed (without additional notice) about their rights established by the Law of Ukraine "On Personal Data Protection," regarding the purposes of data collection. The scope of the Buyer's rights as a personal data subject according to the Law of Ukraine "On Personal Data Protection" is known and understood by them.

2. Terms and Definitions

2.1. "Online Store" - the Seller's website ("blendertac.com"), created for the conclusion of contracts for retail and wholesale purchases based on the Buyer's familiarization with the description of the Goods proposed by the Seller through photographs via the Internet, excluding the possibility of the Buyer directly familiarizing themselves with the Goods – a remote means of selling goods.

2.2. "Goods" - the list of product names presented in the online store.

2.3. "Personal Data" – any information that directly or indirectly relates to a specific person, or to a person that can be identified.

2.4. "Significant Defect of Goods" – a defect that makes it impossible or unacceptable to use the goods according to their intended purpose, arises due to the manufacturer's (Seller's) fault, reappears after its removal for reasons independent of the consumer, and has at least one of the following characteristics:

a) it cannot be eliminated at all;

b) its elimination requires more than fourteen calendar days;

c) it makes the goods significantly different from those specified in the contract.

3. Subject of the Agreement

3.1. The online store undertakes to transfer ownership of the goods to the Buyer, and the Buyer undertakes to pay for and accept the goods under the terms of this Agreement.

3.2. This Agreement regulates the purchase and sale in the online store, including:

a) the voluntary choice of goods by the Buyer in the online store by categories;

b) the independent placing of an order by the Buyer on the website of the online store;

c) the payment of the order by the Buyer, made in the online store;

d) the execution and transfer of the order to the Buyer’s ownership under the terms of this Agreement.

4. Order Placement Procedure

4.1. The Buyer independently places an order online in the online store or through telephone communication using the contacts specified in the online store.

5. Cost and Payment Procedure for Goods

5.1. The full cost of the goods is indicated on the pages of the Seller's online store.

5.2. Prices for Goods and services may change depending on market conditions, reflected in the prices in the online store. The Seller cannot change the price for a specific Buyer if they have already accepted the Seller's terms and made payment for the Goods (services) in the manner established by this Agreement.

5.3. The Buyer pays for the order within 2 working days (in the amount of 100% prepayment) through a bank transfer to the Seller's current account specified in the invoice, including through Internet banking.

6. Delivery of the Order

6.1. The shipment of goods to the Buyer occurs after the Seller receives 100% payment from the Buyer based on the issued invoice.

6.2. Delivery and return of goods are carried out by the Seller or the transport company (carrier) at the Buyer's expense. The total delivery time cannot exceed 10 days.

6.3. The delivery cost is not indicated in the online store, as it depends on the current rates of the transport company (carrier).

6.4. When ordering wholesale batches, delivery times and methods are agreed upon separately in each specific case.

6.5. The Seller is not responsible for the delivery time of the order, as they depend on the actions of third parties (carriers).

6.6. The cost of delivery is paid by the Buyer directly to the transport company upon receiving the goods. The exact cost of delivery is determined by the transport company.

7. Return of Goods of Proper Quality

7.1. The Buyer has the right to exchange Goods of proper quality for a similar one from the seller from whom they were purchased if the goods do not satisfy them in terms of shape, dimensions, style, color, size, or for other reasons cannot be used for their intended purpose under the following conditions:

A) the goods for exchange are provided to the Seller within no more than fourteen days, excluding the day of purchase;

B) the goods can be exchanged if they have never been used, do not show signs of use, and if their commercial appearance, consumer properties, seals, labels, films are preserved, and the integrity of the packaging of both the goods and their components is not violated;

C) the goods do not have scratches, chips, abrasions, are completely functional;

D) the complete set of the sold goods is preserved;

E) the goods can be exchanged upon presentation of the receipt issued to the Buyer together with the sold Goods.

7.1.1. The requirements of paragraph 7.1 do not apply to goods that, according to Appendix No. 3 to the Resolution of the Cabinet of Ministers of Ukraine dated 19.03.94 No. 172 "On the Implementation of Certain Provisions of the Law of Ukraine 'On Consumer Protection,'" are included in the List of Goods of Proper Quality that Cannot be Exchanged (Returned).

7.2. If the Goods do not meet the conditions specified in subparagraphs A) – E) of paragraph 7.1, the Seller has the right to refuse to exchange the Goods.

7.3. Transportation costs for delivering Goods during an exchange under paragraph 7.1 are borne by the Buyer.

7.4. When exchanging goods, their warranty period is calculated anew from the day of the exchange.

7.5. If at the time of exchange there are no similar goods for sale, the Buyer has the right to either purchase any other goods from the available assortment with appropriate recalculation of the cost or terminate the contract and receive back the money in the amount of the returned goods or exchange the goods for a similar one upon the first arrival of the corresponding goods for sale.

8. Rights and Obligations of the Parties

8.1. The Buyer is obliged to:

a) familiarize themselves with the information about the Goods posted on the Seller's website;

b) independently place an order on the website;

c) timely pay for and receive the order from the Carrier under the terms of this Agreement;

d) upon receiving the goods from the carrier, ensure their integrity and completeness by inspecting the contents of the package. In case of damage and incomplete assembly, they must record it in an act that must be signed by the carrier's employee together with the Buyer.

8.2. The Buyer has the right to demand from the online store compliance with the terms of this Agreement.

8.3. The online store is obliged to:

a) comply with the terms of this Agreement;

b) transfer the Goods to the Buyer in accordance with the chosen sample, posted in the online store, the order placed, and the terms of this Agreement;

c) the online store is not liable and cannot act as a defendant in court and does not compensate for damages incurred by the Buyer due to the actions or inactions of third parties.

8.4. The online store has the right to:

a) unilaterally suspend the provision of services under this Agreement in case of violation by the Buyer of the terms of this Agreement or other circumstances established by this Agreement;

b) change the price for the Goods, while informing the Buyer about the changes;

c) make changes to this Agreement, with a mandatory notice to the Buyer.

9. Responsibility of the Parties

9.1. For violations of this Agreement, the Parties bear responsibility in accordance with the current legislation of Ukraine.

9.2. The Seller is not liable for damages caused by the Buyer due to the use of the Goods for purposes not related to their intended purpose.

9.3. The Buyer is responsible for the authenticity of the information provided during the registration process, as well as during the placement of the order.

10. Dispute Resolution

10.1. All disputes arising from this Agreement are subject to consideration in accordance with the current legislation of Ukraine.

11. Final Provisions

11.1. This Agreement comes into force from the moment the Buyer accepts its terms and is valid until the parties fulfill their obligations under this Agreement.

11.2. This Agreement is concluded for an indefinite period.
